12GO PLATFORM GENERAL CUSTOMER (USER) TERMS AND CONDITIONS

These 12Go Platform General Customer (User) Terms and Conditions (hereinafter referred to as “the 12Go’s Terms”) set out the updated and complete terms and conditions between and rights and obligations of 12Go Asia Pte., Ltd., including all its Affiliates (hereinafter collectively referred to as “12Go”), and you, regarding your booking and purchase of 12Go’s Products and Services (definition is set below) via the 12Go’s Platform as well as their usage.

12Go operates a travel and transportation service platform (online travel agency) that facilitates bookings for various modes of transportation, including trains, buses, flights, ferries, and other travel-related services. 12Go operates in multiple countries, allowing Customers (definition is set below) to plan and book their journeys conveniently. All types of ancillaries, services or contents that are offered on the 12Go's Platform are operated by third parties who are direct carriers (Operators) and are all available before the completion of a booking and purchase transaction, including the conditions under which an Operator will be able to offer the said ancillaries, services or contents.

BEFORE SUBMITTING AN ACCOUNT REGISTRATION FORM AND/OR USING ANY OF THE SERVICES ON THE 12GO’S PLATFORM, PLEASE READ THESE TERMS CAREFULLY.

It is essential that you read and understand the 12Go’s Terms. If You do not agree to the following 12Go’s Terms or are not authorised to do so, as well as are not intending to do booking and purchase the 12Go’s Products and Services within conditions other than those stated hereof, you should discontinue your booking and purchase.

By entering into the 12Go’s Terms, you are willing to become the 12Go’s Customer, in this regard to booking and purchase the 12Go’s Products and Services under the 12Go’s Terms and provide 12Go with all necessary information required to be fulfilled on the 12Go’s Platform as well as comply with your rights and obligations under the 12Go’s Terms hereof.

You hereby grant 12Go a right to use your Personal Data required to be fulfilled on 12Go’s Platform, to process your payment details, to make all necessary announcements and orders to you, and any other requests in connection with your booking and purchase of 12Go’s Products and Services and in accordance with the 12Go’s Terms hereof.

1. DEFINITIONS AND INTERPRETATIONS:

"12Go’s Confidential Information" means complete or partial knowledge, data or information relating to the activities or business that may be either in tangible or intangible form, expressed orally, in writing or any other form, including, but not limited to, financial information and data, business and financial plans, budgets, prices, marketing strategies, market information, strategic information, information relating to clients, accounting records, including revenues, business secrets, patterns, technical data, drawings, designs, technologies, studies, processes, systems, ideas, know-how, sector affiliation, photos, computer programs, templates, source and object codes, manuals, reports, records and any other documents in whatever form of expression. The Confidential Information always belongs to its proprietor and has actual or potential commercial value due to its obscurity to third parties, to which third parties do not have free access in pursuance of laws.

"12Go’s Platform" means 12Go’s online distribution channel for all means of transportation and various other travel-related services. This includes, but is not limited to, our diverse offerings of Products and Services accessible via our websites, mobile applications, tools, platforms, technologies, or systems possessed by 12Go or its Affiliates.

"12Go’s Products and Services" means any type of Services or other related products, etc., which are suggested by 12Go via the 12Go’s Platform for booking and purchase by a Customer at specified prices under the specific terms and conditions set by 12Go and/or its Operators, and/or Sellers and/or its Affiliates.

"Affiliates" means subsidiaries, holding companies, members of the group, affiliates, assigns, assignees, successors, trusted agents or any third-party providers or a tool offered on any site of a member of the group and any entity or person (or collectively entities or persons) who directly or indirectly controls, or is controlled by, or under common control by a party. For purposes of this definition, "control," "controlling," and "controlled" means having beneficial ownership of more than 25% of the ownership interests of such person or rights to exercise more than 25% of the voting rights of such person, having the right to elect a majority of the board of directors or other comparable body responsible for management and direction of a person by contract, or having the power to direct or cause the direction of the management and policies of such person, whether by virtue of ownership interests or voting securities, by contract or otherwise.

"Business Day'' means any day (other than Saturday, Sunday, or holidays) on which banks are open for general business in the jurisdiction(s) where 12Go’s legal domiciles are located.

"Customer" (collectively “Customers”) means any individual(s) or entity(-ies) willing to book and purchase the 12Go’s Products and Services via the 12Go Platform.

"Good Industry Practice" means the exercise of that degree of skill, diligence, prudence and foresight which would reasonably and ordinarily be expected from a skilled and experienced contractor acting in good faith.

"Intellectual Property Rights" means patent, trademark, service mark, copyright, and trade secret rights in all products and technologies, including but not limited to the software, source and object code, and know-how, and its architecture, structure, sequence, and organisation, any inventions, drawings, performances, software, databases and methodologies, embodied and expressed in or specifically related to all products and technologies, and also websites, advertisements, promotional literature, mailers, catalogues, and any other materials, commercial or not, which may be related to the intellectual property by reasons of laws or by the nature of an item.

“Operator” (collectively “Operators”) means any legal entity(-ies) or individual(s) who provides a specific type of the Services to the Customers under a contract of provisions of services concluded between them and in accordance with all established applicable procedures, laws and legal requirements, enactments, orders, security guidelines, rules and regulations and other similar legal instruments.

"Personal Data" means any information relating to an identified or identifiable natural person who can be identified, directly or indirectly, in particular by reference to an identifier of that natural person (including but not limited to a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity, etc.). In connection thereto, the definitions of “Personal Data” may vary depending on the regulations applicable in each jurisdiction.

"Services" means a different scope of travel and transportation services provided and rendered by 12Go’s Sellers and/or Operators, which include, in particular, any type of transportation services (including Customer’s baggage and belongings) from and to specific destinations, provided by an Operator in accordance with booked and purchased Vouchers.

“Seller” (collectively “Sellers”) means any legal entity(-ies) or individual(s) who acts on behalf of any Operator under agreements or commercial cooperations between them and, in accordance herewith, provides the Customers with information related to the specific type of Services provided by such Operator. All information, types of Services, Vouchers, etc., belong to and are controlled by such Operators.

“Voucher” (collectively “Vouchers”) means any type of travel/transport ticket, electronic or printed, that provides the holder with a right to consume a specific type of Service offered by a particular Operator under the defined conditions.

2. ELIGIBILITY TO ENTER INTO THE 12GO’S TERMS.

General Acknowledgement. By entering into the 12Go’s Terms, you acknowledge and guarantee the full entitlement and authority to enter into the 12Go’s Terms and any other documents executed by 12Go that may be associated with the 12Go’s Terms, such a right shall be expressed by direct consent with 12Go’s Terms within your booking and purchase of 12Go’s product and services on the 12Go’s Platform (using clicking the checkbox "I accept Terms and Conditions and Privacy Policy" placed in the booking and payment window on the 12Go's Platform).

You agree with all terms and conditions arising from the 12Go’s Terms and acknowledge and guarantee not to enter into the 12Go’s Terms if you do not conform to the eligible requirements stated hereof; otherwise, any agreements and deeds concluded with you under the 12Go’s Terms shall be treated as void and 12Go shall not accept any liability or demands whatsoever resulting from such void agreements and deeds as well as you shall return everything received from 12Go upon such contracts and deeds and promptly repay/reimburse any amount paid by 12Go to you.

You acknowledge and guarantee that after entering into the 12Go’s Terms in compliance with the requirements stated hereof; you become liable for your entire obligation arising from the 12Go’s Terms and other agreements and deeds concluded with 12Go under the 12Go’s Terms and accept such responsibility for the business entity, company or legal person which you present and act on its behalf as well as for all its assigns, assignees, successors, employees, etc.

You acknowledge that the 12Go’s Products and Services offered on the 12Go’s Platform may be supplied by third parties (in particular by 12Go’s Affiliates, Sellers and Operators), and these third parties will have their relevant terms and conditions regarding the provision of the Services. You are subject to and must adhere to such additional terms and conditions.

General Prohibitions. You have no right to enter into the 12Go’s Terms if you are not a 12Go’s Customer and are a direct or indirect competitor of 12Go and are entering into the 12Go’s Terms with the specific intent to affect the competition in order to oust 12Go from relevant markets.

You must be at least 18 years of age and possess the legal authority to enter into the 12Go’s Terms to become a Customer of 12Go and book and purchase the 12Go’s Products and Services available on the 12Go’s Platform. Suppose you are under the age of 18 or a minor. In that case, you are not permitted to (i) register as a user on the 12Go’s Platform, and/or (ii) book and purchase the 12Go’s Products and Services, and/or engage in any transactions or activities on the 12Go’s Platform.

You shall not be entitled to be a 12Go’s Customer if you:

  • introduce yourself in a breach of the 12Go’s Terms and/or

  • make payments which are subject to chargeback and direct or indirect fraud activities or which are reversed or held for any other reason as well as make any false or fraudulent booking; and/or

  • make booking and purchase of the 12Go’s Products and Services by using a promotional code which is either expired or has not been approved by 12Go and/or

  • access, monitor, or copy any content of the 12Go’s Products and Services or any content placed on the 12Go’s Platform; use any robot, scraper or other automated means or any manual process in connection to the 12Go’s Platform; and/or

  • fail any identity or credit checks carried out by 12Go or its Affiliate or on its behalf; and/or

  • are located in a territory from which 12Go does not accept Customers that are the subject or target of sanctions (including, without limitation, Iran, Iraq, Syria, Lebanon, Cuba, North Korea, Crimea, Sevastopol, Donetsk People’s Republic (DNR), Kherson Region, Luhansk People’s Republic (LNR), and Zaporizhzhia Region); and/or

  • are suspected by 12Go of acting in breach of the 12Go’s Terms and/or laws and regulations governing your account, or in betting/gaming transactions, and/or in any marketing, promotion or any fraudulent or dishonest activities; and/or

  • become known to 12Go as a person who does not properly fall within the definition of a “Customer”.

3. CREATING AND USING YOUR USER ACCOUNT ON THE 12GO’S PLATFORM.

You are eligible to register on the 12Go’s Platform solely if you meet all the eligible criteria stated above and have full entitlement to enter into binding agreements.

User Account Creating. To book and purchase the 12Go’s Products and Services, you will be requested to create an account on the 12Go’s Platform. 12Go will collect and process your personal information, such as your name, surname, e-mail address, and mobile phone number, when you register to set up an account. You must provide 12Go with true, accurate, complete, and the latest information and agree to deliver 12Go with any proof of identity 12Go may reasonably request. False or incorrect details may cause your registration to fail, decrease our ability to provide you with 12Go’s Products and Services and prevent 12Go from contacting you. By submitting the registration form, you represent and warrant that the details you provide adhere to the 12Go’s Terms.

You represent that you shall not: (i) select or use as the User ID a name of another person with the intent to impersonate that person, or (ii) use as the User ID a name subject to any rights of a person other than you without appropriate authorisation.

12Go may delete accounts under the wrong names or pseudonyms or in an abusive way.

Should any of your particulars change, you must promptly update them in your account on the 12Go’s Platform.

User Account Information Accuracy. You fully assume responsibility for all information you publish and provide at your account on the 12Go’s Platform and all activities conducted by you on the 12Go’s Platform and in your account.

You also warrant and acknowledge the following:

  • that all information provided by you to 12Go is correct, actual, accurate, current and complete, and you will promptly notify 12Go of any changes; and

  • to register your account with your official personal details and in accordance with the eligible criteria under the 12Go’s Terms (registrations under a pseudonym are not allowed); and

  • not to furnish false or deceptive information and not to assume the identity of any individual or entity, or otherwise misrepresent your affiliation with a person or entity; and

  • to secure your account, to supervise and to be entirely responsible for any use of your account by anyone other than you, and

  • that you have not previously been suspended by 12Go or otherwise banned from using your account and the 12Go’s Platform; and

  • to keep secret and not to allow third parties to use the login, password and account details; and

  • you will not have more than one account on the 12Go’s Platform.

User Account Verification. In order to uphold the security and integrity of the 12Go's Platform, 12Go implements a comprehensive authentication process to verify the identity of the users. The process safeguards you and your user accounts from unauthorised access and fraudulent activities. 12Go intends to establish secure and trustworthy conditions for your interactions with the 12Go's Platform. The following steps outline the detailed process of User Account verification:

  • Information Registration: you shall always provide 12Go with accurate and verifiable information during the registration process, encompassing, but not limited to, your full name, contact details, and other relevant personal information.

  • Email Verification: Following registration, a verification email will be dispatched to your provided email address. It is mandatory to adhere to the instructions contained within this email to confirm and activate your User Account.

  • Mobile Verification: In addition to email verification, there may be a request to verify your mobile phone number through a one-time verification code dispatched via SMS. This measure introduces an additional layer of security to your User Account.

  • Document Submission: In certain instances, 12Go may necessitate submitting official identification documents, such as national or international ID or passport and relevant travel documents. This step may be mandatory for specific transactions or account activities prescribed by 12Go's Sellers and/or Operators.

  • Two-Factor Authentication (2FA): 12Go strongly recommends activating and utilising two-factor authentication to fortify your User Account's security and associated registration. This mechanism involves receiving a unique code and introducing an additional verification step during the login process through your User Account.

User Account usage. To log in, please use your email address as your username and create a strong password. Please keep your username and password confidential and not reveal them to another person. Only you can use your account, and you represent and warrant that you will not authorise any other party to use your identity or account for any reason.

You will have access to your personal information, including full name, email, and phone number in your account. Additionally, the profile section facilitates actions like resetting your password, updating personal details, and deleting the account. Your account features functionalities such as downloading Vouchers and obtaining extended receipts. Furthermore, it contains a comprehensive record of all bookings, complete with booking references, their current statuses, departure and arrival dates and times, operator details, class specifications, seat allocations, passenger names, payment amounts, and supplementary particulars such as check-in times and details regarding checked and hand-carry luggage.

Please ensure to change your password frequently and at least once every six months. You must maintain the security and confidentiality of your account password and identification. In the event of any disclosure of your password in any way whatsoever resulting in any unauthorised use of your account or identity, order(s) received from such unauthorised use shall still be considered valid orders, and 12Go will process such order(s). Subject to any rights you may have at law, you hereby declare that 12Go is not responsible for any loss or damage arising from the misuse of your account in accordance with this clause.

You cannot assign or transfer your account to any other party. If you suspect your account's security has been compromised, you must expeditiously modify the affected account information.

12Go is entitled in its sole discretion to deny anyone access to the 12Go’s Platform at any time and for any reason, including, but not limited to, violating the 12Go’s Terms.

If accessing or using the 12Go’s Platform may expose you to offensive, indecent, inaccurate, objectionable, or otherwise inappropriate content, 12Go does not endorse such content and cannot vouch for its accuracy. You, therefore, access and use the 12Go’s Platform at your own risk.

User Account usage restrictions. Being a Customer of 12Go and while accessing and using the 12Go’s Platform, you are prohibited at any time to:

  • employ any automated system or software to extract data from the 12Go’s Platform (commonly referred to as "screen scraping"), any device, software, or routine to disrupt or attempt to disrupt the regular operation of the 12Go’s Platform or undertake actions that unduly burden the 12Go’s Platform and network equipment, for either commercial or non-commercial usage; and

  • create deep links to any segment of the 12Go’s Platform for any purpose, and

  • reproduce, duplicate, copy, sell, trade, resell, or exploit the 12Go’s Platform; and

  • exploit any feature of the 12Go’s Platform in a manner that is unlawful, harmful, objectionable, or otherwise inappropriate, as determined by 12Go; and

  • publish or disseminate content on the 12Go’s Platform that infringes upon the rights of any third party or applicable law; and

  • utilise your account or the 12Go’s Platform to collect or store Personal Data about others and

  • utilise your account or the 12Go’s Platform for commercial purposes, except as prescribed by the 12Go’s Terms, and

  • utilise your account and the 12Go’s Platform to make any speculative, false or fraudulent requests and

  • transmit any advertisements or promotional materials on your account and on the 12Go’s Platform, and

  • circumvent, disable, or otherwise tamper with security-related features of the 12Go’s Platform or features that prevent or restrict the use or copying of any content or enforce limitations on the utilisation of the 12Go’s Platform or any content therein; and

  • knowingly or unknowingly violate or incite others to violate any applicable law, statute, ordinance, or regulation; and

  • solicit personal information from any individual, and

  • delete, append, or otherwise alter other users' content; and

  • remove or modify any copyright or other proprietary notices associated with any content on the 12Go’s Platform and

  • publicly defame anyone or any user-generated content and

  • publish or post threats of violence, or encourage or incite others to engage in violent or illegal activities.

If any of the actions stated above occur, 12Go has a full entitlement, in its sole discretion and without advance notice or liability, to suspend, terminate, or restrict your access to your account and to the 12Go’s Platform. 12Go shall also be entitled to monitor your account to ensure that you comply with the 12Go’s Terms, and you shall provide 12Go with all data and information to enable 12Go to perform such monitoring at no cost to it.

User Account deleting. You have the following two options to delete your account at any time: (1) deleting via Account Settings, where you retain the option to delete your account by accessing your profile account settings and selecting the "Delete account" option, or (2) deleting by contacting 12Go, where you may initiate a deletion request through the contact form at https://12go.com/en/support or https://12go.asia/en/support.

User Account information security. You will be fully responsible for maintaining the confidentiality and security of your account information, including but not limited to login credentials, passwords, personal information, any identification provided to you by 12Go and any other information linked to and blacked on your account, as well as for any other persons utilising your account information (with your authorisation) to whom you permit the access to your account. You acknowledge and agree that 12Go shall not be responsible for any losses you incur due to your failure to maintain the confidentiality and security of such information.

For proper security measures, 12Go shall have the full right to temporarily block, delete, or deactivate your account at our sole discretion and for any cause without giving reasons for blocking, deletion, or deactivation of your account, provided that this will not affect the 12Go’s obligations to provide the Services that have been booked and purchased by you before that time (unless those Services were cancelled or in other way modified as permitted by the 12Go’s Terms).

12Go retains the authority to access, examine, maintain, and reveal any information that 12Go reasonably considers essential in order to (i) comply with any applicable laws, regulations, legal procedures, or government requests; (ii) enforce the provisions outlined in the 12Go’s Terms, which may involve scrutinising possible breaches of these terms;(iii) identify, prevent, or address instances of fraud, security concerns, or technical challenges; (iv) collaborate with law enforcement agencies or avert child exploitation; (v) respond to inquiries from users requiring assistance; or (vi) safeguard the 12Go’s rights, the rights of 12Go’s users and Customers, or the well-being of the general public.

In the event that you are unsatisfied with the functionality of the 12Go's Platform, disagree with any aspect of the 12Go’s Terms, or possess any other dispute or contention involving 12Go or another user or Customer of the 12Go in relation to the 12Go’s Terms or 12Go's Platform, your singular and exclusive recourse against 12Go is to cease using the 12Go's Platform.

User Account unauthorised access measures. In the event that your account information is disclosed in any manner, leading to unauthorised access or utilisation of your account or identity, any orders originating from such unauthorised usage shall still be deemed valid, and 12Go will proceed to process said orders. In case of unauthorised usage of your account or if you no longer possess control over your account, you should promptly notify 12Go. In such cases, 12Go can temporarily or entirely halt or deactivate your account. It's important to understand that you are responsible for your account's use and could be held liable for its use even in situations where it's misused by others. You acknowledge and agree that 12Go bears no responsibility for any losses or damages arising from the improper use of your account by the conditions above.

4. YOUR RIGHTS AND OBLIGATIONS UNDER THE 12GO’S TERMS.

By entering into the 12Go’s Terms, 12Go grants you the following Rights:

  • to access comprehensive and accurate information about 12Go’s Products and Services that align with descriptions and expectations outlined during the booking process, including details about transportation, prices, and terms, and

  • to get clear and transparent descriptions of the 12Go’s Products and Services, including pricing, fees, and terms associated with bookings or transactions made through your account on the 12Go’s Platform; and

  • to book and purchase all available the 12Go’s Products and Services (subject to certain Seller and/or Operator restrictions) on the 12Go’s Platform in connection with it to make other orders towards your booking and purchase (subject to 12Go’s approval); and

  • to fair treatment, accurate representation of the 12Go’s Products and Services, and adherence to promised offerings; and

  • to use the 12Go’s Platform by granting you access to navigate via the 12Go’s Platform freely, however, subject to compliance with the 12Go’s Terms; and

  • to use your personal account: (i) to create and maintain a personal account with accurate information; (ii) to control personal details, including the ability to update or modify account information; (iii) to expect a due level of security and safety of your personal details and account credentials shared on the 12Go’s Platform, and in compliance with the applicable privacy laws and regulations; (iv) to be informed about any potential security breaches or unauthorised access to your account; (v) to control data sharing and marketing communication preferences; (vi) to terminate or close the account and request the deletion of personal data if desired; and

  • to access a secure payment gateway and assurance of secure transactions made on the 12Go’s Platform; and

  • to access detailed invoices, receipts, or booking confirmations for transactions made on the 12Go’s Platform; and

  • right to cancel your bookings within a specified period and may be entitled to refunds, however, subject to certain Seller and/or Operator policies; and

  • to access customer support and assistance services regarding your bookings, modifications, cancellations, or any other issues you encounter during the booking process or while using the 12Go’s Products and Services and navigating through the 12Go’s Platform;

  • to raise complaints or concerns regarding the Services, provided by a specific right to cancel your bookings within a specified period and may be entitled to refunds and seek appropriate redressal for any grievances you might have, however, subject to certain Seller and/or Operator policies and restrictions; and

  • to provide feedback and suggestions to improve the Customer's experience or address concerns regarding the functionality of your account, the 12Go Platform, the 12Go’s Products and Services, and the Services provided by a certain Seller and/or Operator.

By entering into the 12Go’s Terms, you shall comply with the following Obligations:

  • while accessing and using your account and the 12Go’s Platform at any time, adhere to the 12Go’s Terms, not to breach any of the provisions of the 12Go’s Terms; and

  • at any time comply with the Sellers’ and Operator’s policies, terms, procedures, enactments, orders, security guidelines, rules and regulations and other similar instruments; and

  • provide 12Go with all required and accurate information in connection with your booking and purchase of the 12Go’s Products and Services and use all reasonable endeavours to provide such information without interruption; and

  • provide 12Go, if so requested, with all additional data and information to enable 12Go to process your booking and purchase of the 12Go’s Products and Services, your Personal Data, and payment details and to perform monitoring of your usage of the 12Go’s Platform; and

  • make your booking and purchase of the 12Go’s Products and Services considering all due skill, care and diligence, including Good Industry Practice, and by established procedures and all applicable laws and legal requirements, enactments, orders, regulations and other similar instruments; and

  • commit to comply with the 12Go’s and its Affiliates’ and its Sellers’ and Operators’ security guidelines, policies, rules and regulations; and

  • provide, if required by 12Go, all necessary official and legal documents required by applicable laws and regulations; and

  • ensure that all communications to 12GO are sent by you and on your behalf or of the business entity or company which you present and act on its behalf; and

  • do not post on the 12Go’s Platform any information and materials which are defamatory, violent, pornographic, unlawful, threatening, obscene or racially, ethnically, or otherwise discriminatory or in breach of any third party rights or may be aimed - at people under 16 years of age, and shall not link to any such information and materials; and

  • do not use the 12Go’s Platform to make any speculative, false or fraudulent requests; and

  • do not seek to challenge the validity of 12Go’s, its Affiliates’, Sellers’ and Operators’ Intellectual Property Rights and

  • do not register any domain names or keywords, search terms or other identifiers for the user in any search engine, portal, sponsored advertising service or other search or referral service that incorporate terms which are identical or similar to 12Go or its Affiliates or any other trademarks owned by 12Go and comply at all times with such reasonable guidelines for the use of such trademarks as may be issued from time to time; and

  • directly or indirectly do not offer any other 12Go’s Customer or any contractor / sub-contractor any incentive (including payments of money or other benefits) on behalf of 12Go or its Affiliates; and

  • directly or indirectly do not encourage or assist any other 12Go’s Customer in breaching the 12Go’s Terms or in engaging in behaviour which, in 12Go’s reasonable opinion, breaches the 12Go’s Terms or abuses the spirit of the promotion, competition, tournament or offers operated by 12Go; and

  • do not edit, alter or amend any marketing, promotional and creative materials which have been produced by or on behalf of 12Go; and

  • do not target contextual advertising to branded keywords of 12Go and the 12Go’s Platform; and

  • do not use the branded name 12Go in the contextual advertising announcements.

5. 12GO’S RIGHTS AND OBLIGATIONS UNDER THE 12GO’S TERMS.

Information Providing. 12Go shall solely determine methods of providing you with the 12Go’s Products and Services and all relevant information that is available on 12Go’s Platform.

Information Monitoring. 12Go shall have the full entitlement to use and monitor the information published at and provided by you in your account, your personal data, payment details, and any other details provided by you in connection to your booking and purchase of the 12Go’s Products and Services on the 12Go’s Platform to process your booking and purchase stated hereof, to ensure that you are complying with the 12Go’s Terms, to monitor your usage of the 12Go’s Platform.

Services Access Denial. 12Go may deny access to the 12Go’s Platform and/or to booking and purchasing the 12Go’s Products and Services, reject such booking and purchase, and delete accounts under the wrong names and details, pseudonyms or created in an abusive way, etc. 12Go is entitled in its sole discretion to deny access to the 12Go’s Platform and to booking and purchasing the the12Go’s Products and Services at any time and for any reason, including, but not limited to, violating the 12Go’s Terms.

Services Suspension or Termination. There may be instances wherein 12Go may temporarily suspend or terminate its services provided to any specific Customer, either wholly or partially. 12Go will communicate such suspension or termination to the affected Customer through the procedures stated herein.

12Go reserves the right to suspend or terminate its services offered to Customers in the following circumstances:

  • Violation of the 12Go's Terms: if a Customer breaches any of the provisions of the 12Go's Terms.

  • Non-compliance with applicable Laws and Regulations: if a Customer fails to comply with relevant laws, regulations, or industry standards.

  • Repeated Violations: if a Customer repeatedly violates the 12Go’s Terms, demonstrating a pattern of non-compliance.

  • Fraudulent Activities: if a Customer engages in fraudulent activities.

  • Illegal or Unethical Conduct: if a Customer is involved in illegal or unethical conduct jeopardising the 12Go's operations or reputation.

  • Disruptive Behavior: if a Customer's behavior disrupts the normal functioning of the 12Go's Platform.

  • Failure to Rectify Issues: if a Customer fails to rectify issues or violations following warnings or notifications from 12Go.

  • Non-Payment: if a Customer fails to make required payments for bookings of the 12Go's Products and Services or related fees.

  • Security Concerns: If security concerns are related to a Customer's User Account or activities on the 12Go's Platform.

  • Legal Obligations: in terms of compliance with legal obligations, the suspension or termination of specific services for a Customer is required.

  • Force Majeure: when one of the force majeure events occurs.

  • Operational Changes: if 12Go undergoes operational changes, restructuring, or discontinuation of specific services.

During the suspension period, affected Customers are restricted from booking and purchasing the 12Go's Products and Services.

You may encounter the subsequent message “Your Bookings are temporarily suspended due to violations of the 12Go’s Terms. Please contact the 12Go’s Customer Support Team for further information and clarification on the following steps” during checkout. This alert is activated when the 12Go's Platform detect potential violations of the 12Go's Terms, and there is a threat to the 12Go's Platform, and/or their laydowns, and/or arising from requests made by Sellers and/or Operators for the same reasons, and/or stem from other unpredictable conditions. This measure is implemented to uphold the security and integrity of the 12Go’s Platform. Please contact 12Go's Customer Support for further assistance via the following links: https://12go.com/en/support or https://12go.asia/en/support or by responding to your booking or receipt confirmation email. 12Go’s Customer Support will assist you in resolving any issues, providing clarification, and guiding you through the necessary steps to reinstate your bookings while explaining the reasons for suspension or termination.

In instances where Services are suspended or terminated by a specific Seller and/or Operator, 12Go, while not assuming liability to Customers in such cases, is committed to promptly notifying Customers of the suspension or termination. Furthermore, 12Go will assist Customers in navigating through these circumstances.

In any event of suspension or termination stated herein, 12Go will expeditiously and proactively notify a Customer, stipulating the reasons for such suspension or termination. This notification will include reasons and period of such suspension or termination, including the relevant service conditions, facts, circumstances, notifications by third parties or the period for exercising the right to contest, along with the provision of information regarding the possibility of applying for the cancellation policy and refund, if applicable, and any other protective measures, or instructions on how to rectify violations or seek further clarification. Additionally, Customers will be granted access to personal or other information held on the 12Go's Platform before the specified suspension or termination.

6. BOOKING AND PURCHASE OF THE 12GO’S PRODUCTS AND SERVICES.

Availability of the 12Go’s Products and Services. All the 12Go’s Products and Services for booking and purchase are available on the 12Go’s Platform. While accessing and using the 12Go's Platform and making bookings and purchases of the 12Go’s Products and Services, you are solely responsible for the accuracy of the information filled in by you, your search requests, navigation through the 12Go’s Platform, checking of the availability of the 12Go’s Products and Services, understanding and awareness of all information you obtained in connection to your booking and purchase of the 12Go’s Products and Services. 12Go is not responsible for your activities in connection with it.

The 12Go's Products and Services booking process includes the following steps:

  • Search and select: Start by entering your departure and arrival locations, along with the travel date. Browse available options for transportation. The 12Go’s Platform displays available options based on your search criteria.

  • Select Options: Choose the specific service, class, or route that suits your preferences.

  • Enter Customer Details: Provide the necessary private data to make a booking.

  • Review and Confirm: Review all the details, including dates, times, prices, private data and information.

  • Payment: Enter your payment details and complete the payment process.

  • Confirmation: Once the payment is made, you should receive a booking confirmation and a Voucher with the relevant details in your email. In select cases, additional information or verification may be requisite to authenticate and confirm a booking. Please note that reservations will only be confirmed once you have received a confirmation email.

Booking process disclaimer. 12Go offers you a wide range of the 12Go’s Products and Services by providing relevant search results. You will encounter a pre-established sorting sequence upon accessing the search results page. However, you retain the ability to determine the method of sorting the results. Alternatively, filters allow you to prioritise results based on your preferences, encompassing price, guest review ratings, or other relevant criteria. When you book and purchase the 12Go’s Products and Services, that booking and purchase are made directly with the 12Go’s Sellers and Operators specified on the booking page on the 12Go’s Platform. The 12Go’s Platform functions solely as a searching and booking engine, and 12Go does not (and is not obliged to) possess, own, control or operate any of the Services accessible through the 12Go’s Platform. All the responsibilities in connection thereto lie with the Sellers and Operators. Your interactions with any Sellers and Operators through the 12Go’s Platform are undertaken at your own risk. 12Go disclaims any responsibility for any issues that may arise during the provisions of the Services by Operators even if such booking and purchase were made on the 12Go’s Platform and Vouchers were provided by 12Go.

Bookings Confirmation. After the booking is confirmed, you will receive a confirmation notification via email with the attached Voucher. Please note that the Voucher may be issued either by the 12Go and/or by its Affiliates and/or Sellers and/or Operators. Once you have a confirmed booking and purchase of the 12Go’s Products and Services, as defined further below, any subsequent changes in displayed prices will not impact the cost of your booking. In your personal user account, you can review all your bookings and purchases of the 12Go’s Products and Services, your personal and payment details and statements, and any other relevant information in connection with it. 12Go shall endeavour to ensure that such details and statements are updated immediately but has no obligation to do so; all such details and statements are for information purposes only.

Bookings Terms. 12Go’s Affiliates and/or Sellers and/or Operators may enforce additional terms and conditions, rules, and restrictions applicable to your Confirmed Booking, including changes, cancellations, and refunds; it is essential to fully comprehend and accept all such additional terms before completing your booking. If you fail to comply with the additional terms, the 12Go’s Affiliates and/or Sellers and/or Operators can refuse or cancel your booking without offering any refunds. You hereby acknowledge and understand that you are solely responsible for checking, understanding and complying with all policies, terms, procedures, enactments, orders, security guidelines, rules and regulations and other similar instruments (including but not limited to bookings, changes, modifications, cancellation and refunds) in connection to booking and purchase of the 12Go’s Products and Services; which may be established by 12Go or its Affiliates and/or Sellers and/or Operators, and maybe (but not obligatory) available on the 12Go’s Platform.

Modifications of booked and purchased 12Go’s Products and Services. Modifying bookings may involve contacting the 12Go’s Customer Support with a detailed request or logging into your account on the 12Go’s Platform. If you contact the 12Go’s Customer Support to help modify your booking, you should submit your request by filling out the contact form at https://12go.com/en/support or https://12go.asia/en/support. Please note that you may be charged a fee or penalty for these modifications.

The option to modify bookings and any associated fees can vary depending on the specific circumstances. Hereby, you acknowledge and consider that certain Vouchers may be classified as non-refundable/non-transferable. At all times, check the 12Go’s Terms and any specified conditions when making a booking.

Modifying a booking via accessing your account on the 12Go’s Platform involves these steps:

  • Access Your Account: Log in to your account on 12Go’s Platform.

  • Find Your Booking: Locate the specific booking you wish to modify in your account dashboard.

  • Check Modification Policies: Review the terms and conditions or modification policies related to your booking. Note any fees or restrictions associated with changes.

  • Initiate Modification: Look for an option to modify or change your booking. Click on it.

  • Review Changes: Before confirming, review the modifications carefully to ensure accuracy.

  • Confirm Changes: Once you have made the changes, proceed to confirm and save them.

  • Payment: If any additional charges or penalties are associated with the modifications, you should make a proper payment.

Once you have changed your booking, you will receive a modified booking confirmation via email.

12Go, at its complete discretion, is entitled to modify, alter or amend as well as to withdraw or deny your bookings and purchases, payment options, and other details stated hereof at any time by giving notice to you. In such a case, you can select any other bookings and purchases, payment options and other details on the 12Go’s Platform or provided by 12Go.

Prices and 12Go’s service fees. The prices for booking and purchase of the 12Go’s Products and Services are subject to 12Go’s sole discretion and may be solely changed or in other ways modified by 12Go and/or its Affiliates and/or Sellers and Operators, even during or after your search. 12Go is entitled to apply service fees for booking and purchasing the 12Go’s Products and Services. Such fees are set additionally to the fares provided by a particular Seller and/or Operator and may constitute a fee due to 12Go for booking and purchase and other assistance (support) services in connection hereto. You acknowledge that 12Go’s service fees are fully payable by you and not subject to refund policies. 12Go is entitled to modify its fee or charge price list anytime.

The prices are dynamic and can be changed at any time. Price changes will not affect accepted bookings, except in cases of obvious error. 12Go displays many of the 12Go’s Products and Services and always ensures the displayed price is accurate. 12Go reserves the right to correct any pricing errors on the 12Go’s Platform.

Payment options. While booking and purchasing the 12Go’s Products and Services on the 12Go’s Platform, you are entitled to choose any applicable payment option, currencies, etc., provided by 12o.

12Go provides various modes of payment transactions on the 12Go’s Platform.

  • Credit/Debit Cards: 12Go accepts major credit and debit cards such as Visa, MasterCard, Amex, and others.

  • Electronic Wallets: offer payment options through various e-wallets such as PayPal.

  • Bank Transfers: sometimes, bank transfers may be available as a payment method. For payment by bank transfer, you must provide the transfer receipt as proof of payment of reservations listed in the 12Go confirmation email.

For all reservations, you must pay within the specified time limit. If the payment is not made, 12Go reserves the right to cancel all reservations.

You consent to pay, or authorise, the payment for all such fees with any additional costs as may be incurred by your payment service provider, if any. The payment should only be made via the acceptable payment systems specified on the reservation booking page.

In case of short charging of the booking amount, taxes, charges, and/or other fees due to a technical error or any other reason, 12Go reserves the right to charge or demand the remaining amount from the Customer, and the Customer shall pay such balance amount to 12Go.

Payment Service Providers Fees. Payments are made in the amount as stated, not including bank and/or payment service providers fees. Some banks and payment service providers may impose fees for international or cross-border transactions. If you make a booking using a payment service provider in a different country or choose to transact in a currency different from the local currency of the 12Go's Products and Services. In that case, your payment service provider may charge you an international or cross-border transaction fee.

Other Fees. Taxes. The displayed prices may include taxes or tax recovery charges. Such taxes or tax recovery charges may consist of amounts associated with value-added tax, goods and services tax, sales tax, occupancy tax and other taxes of a similar nature. Customers shall be entirely responsible for all charges, fees, duties, taxes, and assessments using the 12Go’s Products and Services. All payments are deemed to include any tax, bank commission, or similar. You are responsible for paying all costs and expenses incurred in connection with payments unless otherwise prior agreed with 12Go. You are also responsible for paying taxes in accordance with all applicable laws and regulations; 12Go shall have no such responsibility on your behalf. 12Go shall be entitled, but not obliged, to set off any amount owed to you as a result against future payments.

Currencies. The accepted currencies may depend on the country and the specific transportation service. Any currency conversion rates displayed on the 12Go’s Products and Services are based on public sources and current exchange rates, which may vary between bookings and travel times. It should be noted that some banks and payment service providers impose fees for currency conversion. If you make a booking in a currency different to the currency of your card, your payment service provider may convert the booking amount to the currency of your credit card and charge you a conversion fee. Such rates are provided for information purposes only, and 12Go does not guarantee the accuracy of such conversion rates because they are not within 12Go’s control. 12Go is entitled to choose any preferable payment method and apply any real-time exchange rate of any preferable bank and/or payment provider and/or financial institution.

Frauds. In cases of credit card fraud or unauthorised use of your credit card by a third party, you must contact your bank or payment service provider immediately. Should such unauthorised use occur, 12Go assumes no liability for any incidents of credit card fraud or unauthorised credit card utilisation perpetrated by a third party, regardless of whether such fraud or unauthorised use was carried out on the 12Go’s Platform. Should instances of fraud be identified, the respective booking will be rendered void, and 12Go bears no responsibility for such cancellations due to fraudulent activities. If a booking or account shows signs of fraud, abuse, or other suspicious activity, 12Go may request extra information from you.

If 12Go reasonably concludes that a booking or account is associated with fraud or suspicious activity, 12Go may:

  • cancel any bookings associated with your name, email address or account;

  • close any associated accounts and take legal action, including seeking to hold you liable for any loss.

If you suspect any unauthorised reservations or fraud committed, you must contact the 12Go’s Customer Support.

7. CANCELLATION POLICY.

Cancelation Policy General Provisions. You hereby acknowledge that all booked, purchased and confirmed 12Go’s Products and Services may be changed or cancelled by 12Go and/or by a specific Seller and/or Operator or by virtue of any other reason. In such cases, 12Go shall exert reasonable effort to notify you directly of the cancellation or change of the purchased 12Go’s Products and Services and to provide assistance services and support. When applicable, you may be subject to refund policies; however, depending on whether such policies are applicable by a certain Seller and/or Operator, 12Go is not responsible for a refund due to you if such policies do not cover it. Your booking may be cancelled by us and/or the relevant Seller and/or Seller if the complete payment for the booking or all pertinent cancellation or modification fees are not received within the specified period. Various circumstances, including natural disasters, force majeure, and other associated factors, may necessitate potential cancellation or modification of the booking.

Cancelation Policy Refunds. You acknowledge that Sellers and/or Operators may charge you fees for cancellation (in whole or part) or booking changes. Please check the relevant Sellers' and/or Operators' terms for information on your rights to change or cancel your bookings. When a refund is available, booking fees and credit card surcharges are not included in the refund. Please note that no refunds can be granted if you arrive at the designated station, platform, or departure point after the established time, resulting in a missed trip. Regarding reimbursements, refunds and compensations, which may include credit card refunds and are subject to any legal rights you possess, 12Go has the right to withhold or deduct a paid amount to cover reasonable expenses incurred due to the cancellation.

12Go shall not be liable if the Customer is refused travel or removed from the transportation services due to inappropriate, offensive, undisciplined, aggressive, substance abuse, intoxication, unlawful conduct, indecent, or hazardous behaviour, and this list is not exhaustive.

Refunds to the User Account. You can request a refund for the booked and purchased 12Go's Products and Services via the 12Go’s Customer Support, which will be credited to the indicated by your accounts after the deduction of applicable fees imposed by 12Go and/or the 12Go's Sellers and Operators) (the “Refund”). The Refund is possible only when (1) unrestricted by the 12Go’s Sellers’ and Operators’ policies, and/or (2) unrestricted by relevant laws and regulations, and/or (3) unrestricted by payment processors' limitations, and/or (4) bookings and purchases were made not in a fraud. In other cases, the Refund will be credited to your User Account opened with 12Go and maintained in Thai Baht or other applicable currency based on the prevailing exchange rate on the booking date.

The Refund to your User Account will be kept accessible for a period of one (1) year from the processing date (the “Refund Limitation Period”). The credited refund amounts may be utilised for future bookings and purchases of available the 12Go's Products and Services in your name or any other indicated by you. In case of funds insufficiency, you can use different payment methods to replenish the remaining amount. If the refund amount remains unused within the stipulated period, the credited amount will expire and be deducted from your User Account. The Refund Limitation Period is not applicable if the Refund was made: (1) during the COVID-19 pandemic (the global pandemic of coronavirus disease 2019) and/or (2) in a force-majeure event and/or (3) as a result of 12Go's omission/mistake; and/or (4) within Customer Dispute cases.

8. CUSTOMER SUPPORT.

In case of any issues, you can contact the 12Go’s Customer Support through the form provided on the website via the following links: https://12go.com/en/support or https://12go.asia/en/support or by responding to the booking confirmation email or receipt confirmation email. A support case is automatically generated in the 12Go’s internal systems, including a link to the user's booking, and the support team will handle it promptly.

The 12Go’s Customer Support should take various actions in response to different scenarios:

1) Illegal Goods and Services:

  • 12Go implements a comprehensive pre-compliance and assessment mechanism for every supplier featured on the 12Go's Platform, providing services for booking and purchasing the 12Go's Products and Services by Users/Customers. This intricate process involves targeted evaluations conducted by 12Go's Supply, Legal, Finance, Analytics, Marketing, and IT departments. When utilising the 12Go's Platform for booking and acquiring the 12Go's Products and Services, Customers are fully protected from any involvement with illegal goods and services, per established compliance mechanisms. 12Go assures all Users/Customers that all 12Go's Products and Services undergo thorough scrutiny before being listed on the 12Go's Platform, adhering to internal pre-approval procedures to ensure compliance with legal standards. 12Go carefully reviews all Services provided by Sellers and/or Operators before integrating these Operators into 12Go's Platform. This approach safeguards the legal interests and rights of both 12Go and its Users/Customers, providing a secure and compliant transaction environment. The commitment to stringent assessments and compliance procedures underscores 12Go's dedication to legal standards and user protection.

  • Customer Notification Mechanism: Customers can report potentially illegal goods or services directly through the 12Go's Platform using the 12Go’s Customer Support service. Upon receiving Customer reports, 12Go initiates prompt investigations to verify and address potential violations.

  • Suspension and Termination: Sellers and/or Operators found violating the 12Go’s policies may face immediate suspension or termination of their offerings on the 12Go's Platform and legal consequences and penalties in accordance with applicable laws.

  • Commitment to Compliance: 12Go commits to conducting regular compliance audits to ensure continuous adherence to legal standards. 12Go strives to continuously improve its policies and mechanisms to combat illegal goods, services, or content.

  • Immediate Response: the 12Go’s Customer Support should investigate any reports or suspicions of illegal goods and services offered on the 12Go’s Platform.

  • Blocking or Removal: Remove or block any Services that involve illegal goods or services from the 12Go’s Platform.

2) Damages from Using the 12Go’s Platform:

  • Support and Assistance: Provide immediate assistance to the Customers who have experienced damages or issues while using the 12Go’s Platform. This includes technical support, guidance, or troubleshooting;

3) Damages & Injuries from Services Provided by Sellers and/or Operators:

  • Investigation: Investigate claims of damages or injuries resulting from Services offered by Sellers and/or Operators listed on the 12Go’s Platform.

  • Mediation and Communication: Act as an intermediary between the affected Customer and the Sellers and/or Operators to resolve disputes, seek compensation, or facilitate communication.

  • Documentation: Document all complaints, incidents, and actions taken for future reference or legal purposes.

  • Refunds and Compensation: Facilitate refunds or compensation for Customers affected by cancellations, service disruptions, or unsatisfactory experiences in accordance with the policies of 12Go and its Suppliers and/or Operators.

  • Policy Enforcement: Enforce policies that Sellers and/or Operators must adhere to regarding service quality, safety standards, and Customer satisfaction. Provide guidance to Customers regarding the policies of 12Go and its Sellers and/or Operators, as well as terms and conditions and procedures for handling complaints, cancellations, or modifications.

  • Communication and Updates: Keep Customers informed about any changes, updates, or improvements to the 12Go's Products and Services, policies, or procedures.

12Go takes to effectively resolve all Customer claims, including Customers' injuries from using Services provided by the 12Go’s Operators.

In such cases, Customers can submit their complaints through the 12Go’s Customer Support, providing detailed information about the issue they have encountered. The 12Go’s Customer Support initiates a thorough review, carefully examining the details and circumstances surrounding the reported problem, and reaches out to the Customers to gather additional information, clarify any queries, and ensure a comprehensive understanding of the situation. 12Go engages with the Customer to collect all possible evidence of the incident. This may include photos from the boarding location at the specified time, screenshots of the customer's location at the time of the incident, receipts for any additional payments made, and other proofs.

12Go collaborates with the relevant Seller and/or Operator to investigate the issue further. This step aims to address concerns at the source, find an effective resolution, rectify the problem and compensate Customers accordingly. Depending on the Sellers’ and/or Operators’ policy, 12Go assesses the eligibility for compensation. The level of compensation is subject to their policy. Common compensation scenarios include delays, service discrepancies, or additional charges for services that should have been included in the booking.

Throughout the process, 12Go maintains transparent communication with the Customer, updating them on the progress of the investigation and any compensatory measures taken. After the procedures are conducted, 12Go follows up with Customers to inform them of the actions taken and provide updates on the resolution status.

12Go is committed to resolving complaints within a reasonable timeframe, ensuring an efficient resolution process, taking immediate action to address their concerns, and providing necessary support.

In the event of incidents, Customers are required to contact the 12Go’s Customer Support and provide supporting evidence and necessary photographs, depending on the circumstances. For instance, if the Supplier and/or
Operator failed to pick up the Customer From the location indicated on the Voucher, screenshots of the area or a new Voucher purchased at the same time from another Supplier or Operator at the exact location, a receipt for any additional payment made by the Customer for Services that should supposed to be included in the Voucher; photographs of the transportation if it doesn't match the details on the Voucher.

Once the 12Go’s Customer Support gathers evidence, 12Go should determine the fault party and compensate the Customer, if applicable. The possibility of compensation depends on the Supplier and/or Operator's policies, the type of booking, and whether or not it is eligible for a refund.

In all cases, the primary role of the 12Go’s Customer Support is to assist you, aiming to resolve issues, provide guidance, maintain a positive customer experience, resolve issues, and ensure that the Services offered through the 12Go’s Platform comply with legal and ethical standards.

9. CUSTOMER DISPUTES.

12Go is not, and does not become, a party to any contractual relationship between Customer and Seller and/or Operator in respect of any booking, the Services or payment, and may but is not obliged to mediate between Customer and Seller and/or Operator in the event of any dispute arising between Seller and/or Operator and the Customers. 12Go may choose to mediate between the Customer and Sellers and/or Operator in case of any dispute, but in any case, such mediation is not an obligation of 12Go. 12Go shall not be responsible for any disputes and any resulting losses. You are advised to check the fare rules and applicable terms and conditions with the respective Seller and/or Operator for booking products and services. However, given that 12Go acts as the leading customer support service provider for your bookings, you are entitled to contact us directly, and 12Go will assist in providing you with relevant information or get you connected to the respective Seller and/or Operator.

In the event of situations involving damage, loss of baggage, injury, or accidents during transportation, you should follow the policy of the respective Seller and/or Operator and contact the insurance company for the specific insurance event to claim compensation. By acknowledging this, you confirm and accept that 12Go disclaims any liability arising from these situations. For more information on each Seller’s and/or Operator’s fare rules and conditions, please contact the 12Go’s Customer Support or check the respective Seller and/or Operator terms.

Notwithstanding the foregoing, you may be entitled to compensation in accordance with the rules and terms of the Seller and/or Operator’s tariff, if applicable. Save as provided above, you agree and acknowledge that 12Go shall not be held responsible for any further losses, claims, or compensation. In case of any Customer dispute, including but not limited to refunds for any booking and provisions of the Services, 12Go, in its sole discretion, is entitled to decide whether to enter into the dispute. In such cases, 12Go will contact the Seller and/or Operator immediately, and the Seller and/or Operator shall provide 12Go with all necessary information, explanatory notices, instructions, documents and proofs as requested by 12Go.

You acknowledge and agree that in cases of Customer disputes, 12Go shall not be held liable to you. Any amounts disputed by you shall be borne by the Seller and/or Operator in accordance with the applicable cancellation policy.

10. LISTING. RATINGS. CUSTOMERS’ REVIEWS.

Listing of the 12Go’s Products and Services. The order in which the Sellers’ and Operators’ Services are displayed on the 12Go’s Platform (the "Listing") is determined solely by 12Go through automated algorithms. Such algorithms consider various factors, including but not limited to the committed and actual availability of the Sellers’ and Operators’ Services, booking fees and commission percentage, conversion rate (the ratio of site visits to reservations made), sales volume, cancellations, and Customer reviews. 12Go consistently enhances the Customer's experience, employing the Listing feature to categorise the most preferable options. This facilitates Customers in their selection process for 12Go's Products and Services. The Listing distributed on third-party websites is not guaranteed to appear in any specific order or at all. Search results and orders may be presented differently on the different types of the 12Go Platform and compared to such systems of 12Go’s Affiliates and/or Sellers and Operators. To optimise the search experience and enhance the search process, 12Go may conduct limited-duration tests that result in changes to how Listings and search results are displayed. 12Go reserves the right to distribute the Listing and the Services on third-party websites. Any additional and required terms and conditions may be applied (subject to prior notification).

Sellers and Operators Ratings. Ratings shown on the 12Go’s Platform are provided only for information purposes, and existing ratings are based on information given by the 12Go’s Customers and/or third parties and/or from third-party tools and websites. 12Go puts its best endeavours into checking and ensuring all ratings; however, 12Go cannot verify and guarantee the accuracy of received data and is therefore not responsible for any of the existing ratings, nor do the ratings constitute any endorsement (or otherwise) by 12Go. In no event shall 12Go be responsible or liable for any claims, losses or liability concerning the ratings shown on the 12Go’s Platform.

Customer reviews. 12Go reserves the right to receive, publish, adapt, translate, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise exploit all Customers’ reviews in connection to the Services provided by 12Go’s Sellers and Operators. 12Go is not responsible for verifying the accuracy and otherwise expressly disclaims any liability for any of the Customer Reviews. Without 12Go’s permission, you will not use, publish, translate, edit, or use or modify such Customers’ reviews. 12Go shall not be liable for the content or accuracy of any Customers’ reviews. You may provide information that could be used by 12Go and/or its Affiliates and/or Sellers and/or Operators in conjunction with the 12Go’s Products and Services and/or Seller’s and/or Operator’s Services.

At all times and on any platform, including 12Go’s Platform or third-party platforms, it is strictly prohibited for Customers to submit reviews that are defamatory, offensive, speculative, fraudulent, or made in violation of any applicable laws and regulations. All such reviews will be rigorously evaluated by 12Go, denied, and not published on the 12Go Platform. If the review was published on third-party platforms, you are required to delete it promptly; otherwise, 12Go and/or its Affiliates and/or its Operators and Sellers shall be entitled to demand compensation from you.

Reviews containing any Personal Data of other parties or disclosing sensitive information are strictly prohibited. 12Go will always ensure the confidentiality of your personal information, except in cases where disclosure is necessary to provide diligent Customer Support or where 12Go is involved in Customer Disputes. 12Go upholds the importance of safeguarding your private information and handles your Personal Data by the 12GO’s Privacy Policy.

While submitting a review or any other feedback, content, materials, or information via the 12Go's Platform related to the abovementioned reviews (“User Submissions”), you: (i) agree to authorise 12Go to use in any applicable ways any information derived from your User Submissions, including any your Personal Data; (ii) confirm and warrant that any content within your User Submissions (including text, graphics, and photographs) does not violate any applicable laws, regulations, or third-party rights; (iii) acknowledge that all posted User Submissions on the 12Go's Platform are solely your responsibility, and 12Go shall bear no responsibility for any errors or omissions in the content of your User Submissions.

11. PRIVACY POLICY.

12Go believes in protecting any of your private information and processes your Personal Data per the 12Go’s Privacy Policy. Your Personal Data should enjoy appropriate protection and be the subject of confidentiality.

While using the 12Go’s Platform and being a Customer of 12Go, you grant the full entitlement to 12Go to use any of your personally identifiable information and other information gathered by 12Go from you under the 12Go’s Terms and share with its Affiliates and Sellers and Operators or other authorised third parties, including those involved in credit card and payment processing, business analytics, Customer service, marketing, survey distribution, and finance, if applicable under the relevant laws and regulations, to ensure the performing of 12Go’s Products and Services booked and purchased by you.

In connection thereto, 12Go will cooperate in sharing your Personal Data to protect 12Go and its Affiliates, brand, sales, and reputation against fraudulent activities and illegal acts. 12Go may also share data if required by government authorities, law enforcement agencies, or as part of judicial proceedings, lawful requests, or compliance with applicable laws.

12. THIRD-PARTY WEBSITE LINKS.

The 12Go's Platform may include links to third-party websites or services ("Third-Party Websites") that are not owned or controlled by 12Go. These links to Third-Party Websites should not be construed as an endorsement or recommendation by 12Go of such Third-Party Websites or the information, products, advertisements, or other materials available on those Third-Party Websites.

When you access Third-Party Websites, you do so at your own risk. By doing so, you affirm that you have read and agreed to adhere to all relevant policies of any Third-Party Websites that pertain to your utilisation of the Services. You should refer to the separate terms of use, privacy policies, and other rules posted on Third-Party Websites before you access and use them.

12Go does not have control over and assumes no liability for the content, accuracy, privacy policies, practices, or opinions expressed on any Third-Party Websites. Moreover, 12Go is not in charge of monitoring, verifying, censoring, or modifying the content of any Third-Party Website. You explicitly absolve and indemnify 12Go from any responsibility arising from accessing and using any Third-Party Website. You acknowledge and accept that any content accessed through the 12Go's Platform is utilised entirely at your own risk. 12Go, shall not be held liable or responsible for any damages, losses, or detriments suffered by any party arising from the use of or exposure to content available on the 12Go's Platform. This encompasses but is not limited to, any errors, omissions, additions, removals, or modifications made to the content on the 12Go's Platform.

Your interactions with organisations and/or individuals encountered on or through the Third-Party Websites or through consuming other third-party services, including services provided by the Sellers and Operators, encompassing matters like payment, delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such interactions, remain solely between you and those organisations and/or individuals. You concur that 12Go will not be held liable for any form of loss or damage arising from such interactions. In situations of disputes or if conflicts arise between you and other users or third parties, you hereby release 12Go and its Affiliates, officers, directors, employees, agents, and successors from any claims, demands, and damages (actual and consequential), known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or related to such disputes.

13. COOKIES.

12Go shall use a working tracking system that can determine your ID or any other personal details, and 12Go uses cookies that allow 12Go to recognise any of (your) computers when visiting the 12Go’s Platform. If a "cookie" is used, the tracking time shall be at least thirty (30) days. You shall be immediately informed if any relevant part of the tracking system or content delivery system is modified within a reasonable period and if you need to make changes. The complexity of the changes shall determine the period. In the event the tracking system is not working correctly, you shall be informed immediately so that you can take 12GO’s content offline. If a third party does not do tracking, you may ask 12GO to compare 12Go’s internal data to verify the correctness of the tracking.

14. LICENCE. INTELLECTUAL PROPERTY RIGHTS.

12Go grants you a non-exclusive, free-of-charge, and worldwide right and licence to use the 12Go’s Platform in order to get all necessary information in connection to your booking and purchase of the 12Go’s Products and Services, as well as to make the stated bookings and purchases.

You acknowledge that the ownership of all title in and to all Intellectual Property Rights, including patent, trademark, service mark, copyright, and trade secret rights, in all products provided by 12Go or became available to you and the underlying technology, including but not limited to the software, source and object code, and know-how embodied and expressed in all products of 12Go, including its architecture, structure, sequence, and organisation, any inventions, drawings, performances, software, databases and methodologies in or specifically related to such products, website, advertisements, promotional literature, mailers and catalogues shall remain with 12Go at all times (“12Go’s Products and IPR”). You acquire only a limited right and licence to use 12Go’s Products and IPR under the 12Go’s Terms and do not acquire any ownership rights or title in 12GO’s products and IPR, either express or implied.

You shall not copy, translate, disassemble, decompile, re-sell, grant any rights to third parties, lease, time-share, lend or rent any of 12Go’s Products and IPR, nor create or attempt to create, by reverse engineering or otherwise, the source code from the object code of the 12Go’s Products and IPR, and the underlying technology licensed hereunder or use it to create a derivative work, unless authorised in writing by 12Go.

You shall also not commit or, permit, or otherwise cause the commission of any abuse such as (1) sharing passwords and other authentication credentials or (2) permitting the use of the 12Go’s Products and IPR by any third party in a manner that subverts the need of such third party to purchase rights of use for the 12Go’s products and IPR. Other than as specified hereof, any tools licensed with or included in the 12Go’s Products and IPR may not be copied, in whole or in part, without the express written consent of 12Go.

You shall in no manner whatsoever remove any proprietary, copyright, trademark or service mark of 12Go from the 12Go’s products and IPR.

You shall immediately notify 12Go if any claim or demand is made or action brought against it for any infringement or alleged infringement of any of 12Go’s products and IPR.

You acknowledge and guarantee that you won’t in any way register, apply for, merchandise, sell, offer, solicit, sub-license, provide, grant access, forward, publish or distribute domain names similar to those of 12Go as well as all 12Go’s Products and IPR.

Nothing in the 12Go’s Terms purports to grant a licence, provide any warranty or offer any indemnity in respect of any data that is not owned by the 12Go. In the event that you require access to any such data, you agree to give 12Go an opportunity to secure rights to the same, and (if it becomes necessary to do so) you shall be obliged to pay all costs of securing a licence to the same from the relevant third party data owner otherwise 12Go may immediately terminate any agreement made with you in connection with the 12Go’s Terms.

You acknowledge that the security of 12Go’s Products and IPR, the 12Go’s Platform, and any other systems and data in connection with it are fundamental to cooperating with 12Go. Suppose you become aware of a breach or potential breach of security relating to 12Go’s Products and IPR. In that case, you shall immediately notify 12Go of such breach or potential breach and use your best endeavours to ensure that any potential breach does not become an actual breach and/or to remedy any actual breach and its consequences.

15. CONFIDENTIALITY.

You shall not use the 12Go’s Confidential Information for any purpose other than in pursuance of your rights and obligations under the 12Go’s Terms, nor disclose the 12Go’s Confidential Information to any person except with prior written consent of 12Go. You shall follow Good Industry Practice to prevent using or disclosing the 12Go’s Confidential Information.

Such obligations will not apply to any confidential information that:

  • is, or later becomes, public knowledge other than by breach of the provisions of the 12Go’s Terms;

  • was known by or was in your possession with the full right to disclose prior to its receipt, as evidenced by written records;

  • is or becomes available on a non-confidential basis from another source;

  • is independently developed by you;

  • is independently received by you from a third party, with no restrictions on disclosure.

Any unauthorised disclosure of the 12Go’s Confidential Information shall mean any action or inaction of you as a result of the 12Go’s Confidential Information in any possible form or way (oral, written, electronic or other, including through technical hardware, etc.) becomes known to third parties without prior written consent of 12Go.

In case of the unauthorised disclosure of the 12Go’s Confidential Information by you, you shall undertake all measures to prevent all losses or other negative consequences and effects to 12Go caused by such loss or such disclosure, as well as further disclosures. In any case, you shall be liable for any unauthorised disclosure of the 12Go’s Confidential Information, and 12Go will have a full entitlement for propriety reimbursement from your side, including but not limited to court proceedings, reimbursement of actual and potential damages, consequential losses and loss of profit, reasonable legal costs and expenses and VAT thereon if applicable, recovery of business reputation, termination of contracts concluded by you in the breach of 12Go’s Terms and unauthorised disclosure of 12Go’s Confidential Information.

The 12Go’s Confidential Information may be disclosed without prior written consent only in the following cases:

  • to audit organisations (auditors) for carrying out an audit upon their request, and only in instances where the disclosure of the 12Go’s Confidential Information is required to conduct such an audit. At the same time, and

  • to public agencies, state authorities, and persons authorised to request such information in accordance with the applicable law on the basis of a formal request to provide such information or to provide state public accountability.

At the same time, you undertake to inform the auditing organisation (auditor), public agency, state authority and other authorised persons that such provided information is the 12Go’s Confidential Information in respect of which the auditing organisation (auditor) should ensure the requirements of the confidentiality stated hereof;

You shall be responsible for any breach by such persons, stated hereof, for any unauthorised disclosure of the 12Go’s Confidential Information.

Suppose there is no necessity in the 12Go’s Confidential Information use pursuant to a requirement of 12Go or in case of termination or expiration of any agreement made with you in connection with 12Go’s Terms. In that case, you are obliged to return all originals and all copies of the 12Go’s Confidential Information to 12Go or destroy all copies of the 12Go’s Confidential Information in your possession and (if so requested by 12Go) shall use all reasonable endeavours to destroy all copies of the 12Go’s Confidential Information stored electronically except to the extent that it is obliged to retain such information under any law and regulation.

You acknowledge that at any time, you shall not use 12Go’s Confidential Information, the 12Go’s Products and IPR, including confusingly similar spellings of trademarks, designations or brand names, as an internet domain or as part of a domain name, or in connection with internet search engine advertising such as, for example, Google, AdWords, Yahoo Search Marketing, Bing or any other sponsored links (keyword search marketing), neither as keywords nor in advertising texts including title, text and displayed URL. Furthermore, this obligation must also be considered extended to the possible inclusion of negative or erroneous words relating to the Suppliers' and/or Operators' brands in the search engines.

The confidentiality and non-disclosure terms stated hereof shall survive any cooperation between you and 12Go made in connection with the 12Go’s Terms.

16. LIABILITY. INDEMNITY. LIMITATIONS

You are liable to 12Go for all your obligations arising from the 12Go’s Terms.

12Go shall have the full right to require any reimbursement from you in the following cases: (1) if any breach occurs due to your own default, or personal fault and omission, or fault and omission of the business entity or company which you present and act on its behalf as well as of all its assigns, assignees, successors, employees, etc.; and/or (2) if you do not comply with your obligations stated in the 12Go’s Terms, and, at the same time, 12Go has been or is being involved in any reimbursement or claims against it in such cases.

12Go shall not accept any liability or demands whatsoever resulting from or related to any changing of any information pertaining to the 12Go’s Products and Services to services of a specific Seller and/or Operator, changing and/or cancellation of booked and purchased 12Go’s Products and Services, to the process of booking and purchase of the 12Go’s Products and Services or fulfilment of any information described in the 12Go’s Products and Services and/or contained on the 12Go’s Platform and/or requested to be fulfilled by a specific Seller and/or Operator, and/or to the process of the Services provision, as well as to the quality of the Services which is being provided or have been provided by a specific Seller and/or Operator, for the process and quality of any additional services which are being or have been provided by a particular Seller and/or Operator additionally to the Services. You acknowledge and consent that you shall not hold 12Go accountable or attempt to do so for the content furnished by any Seller and/or Operator or third party. Additionally, you further recognise and concur that 12Go is not a participant in any transaction linked to the services offered by any Seller and/or Operator or third party. 12Go lacks control over such transactions, tours and the integrity or precision of any listings or other content supplied by Sellers and/or Operators or third parties.

You shall indemnify and hold harmless 12Go from and against any losses, demands, claims, damages, costs, expenses (including but not limited to actual and potential damages, consequential losses and loss of profit, reasonable legal fees and expenses and VAT thereon if applicable) and liabilities suffered or incurred, directly or indirectly, by 12Go in consequence of any breach by you of your obligations under the 12Go’s Terms.

You shall indemnify, defend and hold harmless 12Go, its Affiliates, its Affiliates, officers, directors, employees, agents, and successors from and against all claims, including third-party claims, demands, loss, damage or expense (including attorney fees) relating to:

  • the negligence, recklessness or willful misconduct of you or any party under your direction or control of you as well as the business entity, company which you present and act on its behalf as well as for all its assigns, assignees, successors, employees, etc.;

  • a material breach of the 12Go’s Terms by you or

  • the damage, loss or destruction of any property of you and the business entity, company which you present and act on its behalf, or injury or death to any persons resulting from the actions or inactions of you and/or the business entity, company which you present and act on its behalf as well as all its assigns, assignees, successors, employees, etc., insofar as such damage arises out of or is in the course of fulfilling your obligations or default of you.

The limitation of 12Go’s liability for which you may commence proceedings against 12Go to recover on any claim shall be not more than the volume of the total price of 12Go’s Products and Services booked and purchased by you under the 12Go’s Terms within the last six (6) months prior the date when you become aware or should reasonably have become aware of a breach and that would form the subject of the claim. The time limit within which you may commence proceedings against 12Go to recover on any claim shall be one (1) year from the date when you become aware or should reasonably have become aware of a breach, which would form the subject of the claim.
No exclusion or limitation set out in the 12Go’s Terms shall apply in the case of (i) fraud or fraudulent misrepresentation and (ii) death or personal injury resulting from the negligence of both you and 12Go.

Both you and 12Go shall not be responsible for partial or complete default of obligations stipulated in the 12Go’s Terms if such failure was by reason of Force Majeure. Force Majeure shall mean natural disasters and other abnormal weather conditions, man-made disasters, riots, acts of war, a state of emergency, strikes, embargoes, economic blockade, international economic sanctions, acts and actions of the authorities which led to the impossibility of execution of any of the obligations stated hereof. In the case of Force Majeure, you and 12Go shall promptly notify each other in writing. All the deadlines for executing the 12Go’s Terms shall be extended according to the time of Force Majeure. If Force Majeure is for more than two (2) months, both you and 12Go shall hold additional negotiations to find acceptable alternative methods of execution of the obligations arising from the 12Go’s Terms.

17. DISCLAIMER.

By featuring specific destinations, 12Go does not affirm or guarantee that travelling to such destinations is recommended or devoid of risks, and 12Go cannot be held accountable for any losses or damages stemming from visits to such destinations. In no circumstances will 12Go assume liability for any incidents that occur during the course of your journey or your stay. It is solely your responsibility to make choices regarding your travel, route, and chosen destination for the entire duration of your trip. In alignment with the extent permitted by the law, 12Go will not be held responsible for any losses arising due to your failure to carry the required travel documents, such as your passport and Voucher, or for any other reasons attributed to you.

You are solely accountable for acquiring, upkeeping, and having on hand the appropriate and valid travel permissions or foreign entry prerequisites (which encompass, but are not limited to, visas or other essential travel documents and permits, whether for transit or otherwise) that apply to you before finalising your travel arrangements. This should be done in accordance with the prevailing laws of the country you are originating from, entering, traversing, or transiting through. 12Go is not obligated and bears no responsibility for notifying you about the travel arrangements and permissions necessary for your travel plans. Under no circumstances shall 12Go be liable for any losses or damages arising in connection with your travel permissions.

It is your responsibility to ensure that you fulfil the foreign entry prerequisites and that your travel credentials, which include passports and visas (whether for transit, business, tourism, or other purposes), are valid and meet all the necessary criteria throughout your travel duration. 12Go strongly encourages its Customers to thoroughly review travel prohibitions, alerts, notifications, and advice issued by relevant government entities before making travel reservations for international destinations. PLEASE BE ADVISED THAT 12GO WILL NOT BE LIABLE IN THE EVENT THAT YOU ARE DENIED ACCESS TO ANY TRANSPORTATION SERVICE(S) OR A PARTICULAR COUNTRY. THIS MAY OCCUR DUE TO YOUR FAILURE TO CARRY THE APPROPRIATE AND SUFFICIENT PASSPORT, VISA, OR ANY OTHER TRAVEL DOCUMENTS REQUIRED BY THE CONCERNED SELLERS AND/OR OPERATORS, AUTHORITIES, OR COUNTRIES.

While 12Go exercises diligent care and expertise in delivering the 12Go’s Products and Services to Customers and users of the 12Go’s Platform, 12Go does not undertake verification nor provide an assurance that all information furnished by Sellers and Operators accessible on the 12Go’s Platform is entirely accurate, exhaustive, correct, or the most current rendition available. 12Go disclaims any responsibility for any errors, encompassing those related to placement and typographical inaccuracies, as well as any hindrances, whether temporary or partial, stemming from causes like 12Go’s Platform maintenance, damage, repair, enhancements, or any other factors. Furthermore, 12Go is not liable for the precision, completeness, or credibility of the information provided by Sellers and Operators, which might be misleading or false, nor for instances where such information is not furnished by Sellers and Operators as expected.

12GO HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO THE 12GO’S PRODUCTS AND SERVICES PROVIDED HEREUNDER, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS ONLY. EXCEPT AS OTHERWISE EXPRESSLY SET FORTH HEREIN, 12GO FURTHER DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY THAT SERVICES PROVIDED WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE.

12GO DOES NOT GUARANTEE OR WARRANT THAT YOU WILL RECEIVE VALID TRAVEL PERMITS THAT APPLY TO YOU. 12GO DISCLAIMS RESPONSIBILITY TO INFORM OR COMPENSATE YOU IF YOU INCUR LOSSES OR DAMAGES DUE TO LACK OF VISA OR TRAVEL PERMITS (INCLUDING, BUT NOT LIMITED TO, ENTRY DENIAL OR DEPORTATION).

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE 12GO’S PLATFORM IS SOLELY YOUR RESPONSIBILITY AND RISK. YOU VOLUNTARILY ACCEPT SUCH RISK, AND YOU WILL BE FULLY LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM OR IN CONNECTION WITH SUCH MATERIAL, INCLUDING ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM THE DOWNLOAD OF ANY PROVIDED MATERIALS.

In accessing or using the 12Go’s Platform, you may be exposed to content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. 12Go does not endorse such content and cannot vouch for its accuracy. You, therefore, access and use the 12Go’s Platform at your own risk.

18. TRAVEL REQUIREMENTS AND ADVISORIES

You are obligated to ensure compliance with all applicable legal mandates when entering a country or territory, including but not limited to visa and health-related prerequisites. As these requirements are subject to change without prior notification, 12Go strongly recommends that you review any travel prohibitions, warnings, announcements, and advisories issued by relevant authorities. Additionally, you are advised to verify the specific requirements with the appropriate consular office before booking your travel and before departure.

Furthermore, it is your responsibility to secure insurance coverage through your personal insurance provider or travel suppliers, who may offer insurance options.

By presenting travel products for particular destinations, 12Go does not represent or provide any assurances that travel to such locations is advisable or devoid of risks. 12Go shall not be held liable for any damages, losses, or detriments arising from travel to these destinations. You are strongly advised to review the relevant travel advisories issued by your government for any country you intend to visit and to take the necessary precautionary measures.

19. NOTICES. COMMUNICATION.

12Go will send all notices and communications to you by (email and other) addresses you indicated on the 12Go’s Platform.

Notices and communications will be deemed received four (4) hours after being sent, provided that if such notice would then be deemed to have been received outside the hours of 10 AM (10:00) to 7 PM (19:00), it will be deemed to have been received at 10 AM (10:00) on the next Business Day.

20. MISCELLANEOUS.

12Go’s Terms Acceptance. The 12Go’s Terms shall come into effect after the expression of your direct consent with 12Go’s Terms within your booking and purchase of 12Go’s Products and Services on the 12Go’s Platform (by clicking the checkbox "I accept Terms and Conditions and Privacy Policy" placed in the booking and payment window on the 12Go's Platform).

Effect and Termination. The 12Go’s Terms shall remain in effect unless you receive the Services booked and purchased by you in full, considering that a specific Operator will provide such services and 12Go will have limited responsibilities as stated hereof. Termination or expiration of the 12Go’s Terms does not preclude any provision of the 12GO’s Terms, which is to operate even after expiry or termination.

Severability. The provisions of the 12Go’s Terms shall be severable if any of the provisions hereof are held by a court of competent jurisdiction to be invalid, void or otherwise unenforceable, and the remaining provisions shall remain enforceable to the fullest extent permitted by applicable law.

Entire Agreement. The 12Go’s Terms embody the entire agreement between you and 12Go relating to the subject matter and may not be waived, amended or modified by you at any time. 12Go is entitled at any time to waive, amend or alter the 12Go’s Terms without prior notification. The latest version of the 12Go’s Terms is always available on the 12Go’s Platform, and you hereby represent that you shall be acquainted with the latest version of 12Go’s Terms on your own.

No Partnership. Nothing in the 12Go’s Terms shall constitute or be deemed to constitute you and 12Go as a partnership, association, joint venture or other cooperative entity or authorise one of you and 12Go to make or enter into any commitments for or on behalf of each other.

Assignment. You shall not assign, transfer, sell, novate, declare a trust of or otherwise dispose of any of your rights and obligations under the 12Go’s Terms, or any part thereof, without prior written consent and approval of 12Go. 12Go may assign or subcontract any of its rights and obligations under the 12Go’s Terms to any of its Affiliates at any time without giving notice to you.

Governing Law and Jurisdiction. 12Go’s Terms shall be governed by and construed in accordance with the substantive laws of Singapore. Any disputes or discrepancies arising from the 12Go’s Terms or in connection herewith shall be resolved by amicable settlement. Should you and 12Go fail to resolve any such disputes or discrepancies by amicable settlement within a reasonable period, which shall not exceed thirty (30) Business Days, any such disputes or discrepancies shall be settled by Singapore's general or arbitrary courts. The language of proceedings shall be English.

Representation and Warranty. You hereby represent that you are acquainted with all meanings of any expressions used hereof. In case of any doubt, you acknowledge that the definition of any ambiguous or imprecise expression used hereof was explained to you in due course and due manner. You hereby agree that you will at all times act to perform your rights, duties and obligations in connection with the 12Go’s Terms in good faith and Good Industry Practice concerning 12Go and its Affiliates.

Language. The 12Go’s Terms are executed in English. All correspondence, all disputes and discrepancies, and any court (arbitration) settlement between you and 12Go shall be executed in English. In case of translation of the 12Go’s Terms, as well as any amendment to it and correspondence upon it, into any other language, the English version prevails.
